After forming your LLC with the Division of Corporations, circumstances change. You might need to update your LLC's name, switch from member-managed to manager-managed, change your principal address, or add provisions to your Articles of Organization. These changes require filing Articles of Amendment through Sunbiz.org. The fee is $25 per amendment filing.

What Changes Require an Amendment
Changes that require Articles of Amendment ($25):
- LLC name change (must still comply with §605.0112 naming rules)
- Management structure change (member-managed to manager-managed, or vice versa)
- Adding or removing provisions from the Articles of Organization
- Changing the LLC's stated purpose (if one was specified — most LLCs use "any lawful purpose")
Changes handled through OTHER filings (not amendments):
- Registered agent change — File a Statement of Change of Registered Agent ($25) — separate from an amendment
- Address updates — Can be done through the annual report for the standard filing fee (beyond the $138.75 report fee)
- Member/manager name changes — Updated through the annual report, not an amendment
Changes that do NOT require any state filing:
- Adding or removing members (handled through your operating agreement and internal records)
- Changing profit/loss allocations (internal operating agreement matter)
- Adding new services or business activities (unless your Articles specified a limited purpose)

Does an amendment change my LLC's formation date?
No. Your LLC retains its original formation date and document number. The amendment simply modifies specific information on the public record. Your LLC's history, seniority, and all prior filings remain intact.
Can I amend my Articles of Organization at any time?
Yes. There is no deadline or waiting period for filing amendments. You can file an amendment the day after formation or years later. The $25 fee is the same regardless of timing.
Do I need all members to approve an amendment?
Your operating agreement should specify what vote or consent is required to amend the Articles. If your operating agreement is silent on this, the default rules under Chapter 605 generally require consent of all members for actions outside the ordinary course of business (which amendments typically are).
