Calendar-year system: Florida uses a calendar-year annual report system — not anniversary dates. Every LLC files between January 1 and May 1 regardless of when it was originally formed. This is different from states like Texas or California that use the LLC's formation anniversary.

Tip: File in January or February when you first receive the reminder. There is no advantage to waiting until April or May, and filing early eliminates the risk of forgetting before the deadline.

When Your First Annual Report Is Due

Your first annual report is due May 1 of the calendar year following your LLC's formation year.

Examples:

Strategic formation timing: If you form your LLC in December 2026, your first annual report is due just a few months later (May 1, 2027). If you instead set a January 1, 2027 effective date on your Articles of Organization, your first annual report is not due until May 1, 2028 — giving you an extra year before the $138.75 fee kicks in. This is worth considering for December formations.

The $400 Late Fee

If your annual report is not filed by May 1:

There is no grace period. May 2 is late. The $400 applies immediately.

Using the Annual Report to Update Information

The annual report doubles as an update mechanism. Instead of filing a separate amendment ($25) for certain changes, you can update the following through your annual report for the standard filing fee beyond the $138.75:

What happens if I file one day late?

The $400 late filing supplement applies. There is no grace period, no exceptions, and no appeals process for the late fee. May 2 costs you $538.75 instead of $138.75. File early.

Can I file my annual report before January 1?

No. The Sunbiz.org annual report filing system opens on January 1 each year. You cannot file for the coming year before that date.

Is the annual report the same as a tax return?

No. The annual report is a confirmation filing with the Division of Corporations — it updates your entity's administrative information (addresses, registered agent, managers). It has nothing to do with taxes. Your tax obligations are separate — filed with the IRS (federal) and, if applicable, the Florida Department of Revenue (sales tax, tangible property tax). Can I file by mail?

No. Florida's annual report for LLCs must be filed electronically through Sunbiz.org. There is no paper option for the annual report (unlike the initial Articles of Organization, which can technically be mailed).

What if my LLC was formed in December — do I really owe an annual report a few months later?

Yes. If your LLC was formed with a 2026 effective date (even December 31, 2026), the first annual report is due May 1, 2027. To avoid this short turnaround, consider using a January 1, 2027 effective date on your Articles of Organization — this pushes your first annual report to May 1, 2028.

My LLC has no income. Do I still need to file?

Yes. The annual report obligation exists regardless of income, activity, or profitability. Every active Florida LLC must file annually or face the $400 late fee and eventual dissolution. If your LLC truly has no activity and will not have any in the future, consider voluntarily dissolving it to end the annual reporting obligation.
