Florida LLC Annual Report: $138.75, Due January 1 to May 1
Florida LLCs file an annual report with the Department of State's Division of Corporations (Sunbiz) every year, and the fee is $138.75. That is a $50 report fee plus an $88.75 supplemental corporate fee.
The filing window runs from January 1 to May 1, starting the year after the year your Articles of Organization became effective. The report is filed online only. Paid after May 1, it costs $538.75, because a $400 late fee is added.

|---|---|---|
| Annual report | $138.75 | January 1 to May 1 |
| Late fee | $400 ($538.75 total) | After May 1 |

| Reinstatement | $100 + each year's report fee | After dissolution |
What the report asks for
The report is filed in Sunbiz using your document number, and it asks for the company's federal EIN. A different registered agent named on the report also counts as a statement of change of agent. Reminder notices go to the email address given at formation.
If you miss May 1
The late fee is $400, and Florida has no provision to waive it. The Division may dissolve an LLC whose report is not in by 5:00 p.m. Eastern on the third Friday in September; the dissolution itself happens on the fourth Friday. A dissolved LLC can only wind up its affairs, and until a non-filer files and pays it may not maintain or defend a court action in Florida. Reinstatement is $100 plus the annual report fee for each year missed, and the $400 late charge is not imposed on an entity dissolved for not filing that applies for reinstatement and pays the reinstatement fee.

How to file the Florida annual report
- Wait for the year after formation. The first report comes due January 1 of the calendar year following the year the LLC was formed.
- Gather the details: document number, principal office, registered agent, managers or authorized members, and the EIN.
- File online at Sunbiz annual report between January 1 and May 1 and pay the $138.75.
- Repeat every year and file before May 1 so the $400 late fee never applies.
