About us: LLC Florida.org
LLC Florida.org forms Florida LLCs for a $199 service fee plus Florida's state fees, with the first year of Florida registered agent service included.
What we do
Our formation fee includes:
- Preparation and filing of your LLC's formation document (the Articles of Organization or Florida's equivalent) with the state.
- Delivery of the state-returned formation documents to your online account.
- Your first year of Florida registered agent service. It renews at $99/year after 12 months.
The process
Standard Florida processing for a new LLC takes 2–3 business days after we file.
State processing times are set by the state and can change.
Price and what's included
Florida LLC formation: $199 our fee + $125 Florida state filing fee = $324 due today. The first year of registered agent service is included; it renews at $99/year after 12 months.
Foreign registration into Florida (for a company formed in another state): $199 our fee + $125 Florida state fees = $324. The first year of registered agent service is included.
EIN (federal tax ID) application: $99. The IRS charges no fee for an EIN. Founders with no SSN or ITIN add $99 for international processing.
State fees are shown separately from our fee. We collect them with your order and pay them to the state at cost when we file.
What the fee doesn't cover
- The state's filing fee and any mandatory state expedite fee. They are listed separately above, collected with your order and paid to the state.
- The federal EIN (tax ID number). That is a separate service: $99.
- An operating agreement.
- BOI / FinCEN beneficial-ownership reporting.
- Legal or tax advice. We are a filing service, not a law firm.
Staying compliant in Florida
Every LLC formed in Florida must designate a registered agent as part of the formation process. The governing provision is Fla. Stat. § 605.0113, and the requirement has no exceptions: your Articles of Organization (form CR2E047) cannot be filed without an agent, and the LLC must keep one continuously for as long as it exists.
Quick answers
Is the annual report the same as a tax return?
No. The annual report is a confirmation filing with the Division of Corporations — it updates your entity's administrative information (addresses, registered agent, managers). It has nothing to do with taxes. Your tax obligations are separate — filed with the IRS (federal) and, if applicable, the Florida Department of Revenue (sales tax, tangible property tax). See our tax guide.
What happens if my registered agent misses a document?
The process server documents the failed attempt, and the plaintiff can turn to alternative service methods that Florida procedure authorizes. The lawsuit proceeds either way, and your LLC may first learn of it after a default judgment is already entered.
Can I handle these processes myself or do I need a service?
Most filings covered in these guides — annual reports, amendments, reinstatements — can be completed directly through Sunbiz.org by the LLC member or manager. The interface is straightforward. Where a process benefits from professional assistance (operating agreement drafting, complex ownership transfers, tax elections), we note that in the specific guide.
How much does it cost to form an LLC in Florida with you?
$199 our fee + $125 Florida state filing fee = $324 due today.
Does the registered agent need to be in the same city as my business?
No. The agent can be anywhere in Florida; the address does not need to match your business location. What matters is a physical Florida street address, identical to the registered office, with someone available during business hours.
Policies
Registered agent service renews automatically for another year on each renewal date, unless you turn off auto-renewal or cancel in your online account, or give written notice at least 30 days before the renewal date. Renewal reminders go out about 60 days ahead.
You can cancel at any time from your online account or by contacting support. Cancelling does not by itself remove us as registered agent on the state record; a change of registered agent or resignation filing does that.
Anything already filed with the government is not refundable. Registered agent fees are not refundable once we or our partner have been appointed with the state. State fees are not refundable once paid to the state.
